1. Website Description
The Seller agrees to sell and transfer ownership of the following pre-built dropshipping website that includes: Full website setup, domain name, products, branding, and supplier integration.
2. Purchase Price
The total purchase price for the Website to be paid in full before the transfer of ownership begins.
3. Payment Terms
- Payment is to be made via Stripe (or agreed method).
- Seller will confirm receipt of funds before transferring the store.
- A Stripe payment link will be sent to the Buyer upon confirmation of intent to purchase.
4. Ownership Transfer
Upon receipt of full payment, the Seller agrees to:
- Transfer complete ownership of the Shopify website to the Buyer.
- Transfer the domain name linked to the site.
- Provide the Buyer with full administrative access.
- Assist in creating a Dropshipzone supplier account (if not already created) and guide the Buyer in binding it to the store.
5. Warranties & Limitations
- The Seller represents that they are the lawful owner of the Website and have the right to sell it.
- The Website is sold "as is". The Seller does not guarantee any specific income or business performance.
- The Buyer is responsible for managing and marketing the website after transfer is complete.
6. Confidentiality
Both parties agree to keep the terms of this Agreement and any sensitive business information confidential.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of New South Wales, Australia.
8. Use of Store and Customer Data for Marketing
By purchasing a website from Dropship Australia Pty Ltd, the Buyer grants ongoing permission for the Company to:
- Access and analyse store performance data, including but not limited to customer names, emails, order history, and audience behavior;
- Use such data for campaign targeting, such as creating lookalike audiences and retargeting strategies;
This data will be:
- Handled securely and in accordance with applicable privacy laws;
- Never sold or shared with unrelated third parties;
- Made available, in a limited and permissioned way, to future website owners for the purpose of collaborative campaign optimisation.
The Buyer may revoke this permission at any time with written notice. Upon revocation, Dropship Australia will remove access and delete relevant data from marketing systems where applicable.
9. Agreement Signatures
By signing below, both parties acknowledge and agree to the terms of this Website Purchase Agreement.
10. Funnel Build, Optimization, and Management
- The Seller agrees to build, optimize, and manage the Buyer’s sales funnel(s) for a period of twelve (12) months following execution of this Agreement.
- During this period, the Seller will retain administrative control of the funnel for optimization purposes.
- At the conclusion of the twelve-month period, ownership and full administrative access to the funnel, assets, and associated accounts will be transferred to the Buyer, provided all payments are up to date.
